Ad Astra Flights Membership Terms and Conditions

Welcome to Ad Astra Membership. These Terms and Conditions (“Terms”) govern the rights and obligations between you (the “Member” or “you”) and Ad Astra Flights (“we”, “us”, “our” or the “Company”) in relation to your membership and use of our services. Please review these Terms carefully before submitting your membership application.

1. Membership Overview
a. Application: To become a member, you must submit an application online or in person.
b. Eligibility: Members must be at least 18 years of age, a United States resident, and provide a verifiable address, valid email address, and valid driver’s license or passport issued in the United States. Membership eligibility is subject to security screening and approval. The Company reserves the right to accept or decline any person as a Member in its sole and absolute discretion.
c. Benefits: Members have exclusive access to our private jet fleet and personalized travel experiences.
d. Fees: Ad Astra Flights membership requires a one-time registration fee and monthly membership fees as outlined on our website. The registration fee is non-refundable unless membership is denied and must be paid at the time your application is submitted. Members must maintain a credit card on file with the Company and authorize automatic payment of the monthly membership fee and any flight booking fees to be charged at the time of booking.
e. Renewal and Cancellation: Membership automatically renews each month unless the Member provides written notice of cancellation via email to the Company at least five (5) business days prior to the end of the month. Ad Astra Flights may terminate any person’s membership in its sole and absolute discretion upon thirty (30) days written notice to the Member; however, termination may be effective immediately for inappropriate conduct as determined in the sole discretion of the Company or in violation of these Terms.

2. Prohibited Behaviors
a. Illegal Activities: Engaging in any illegal activity during the use of our services, including but not limited to smuggling, drug trafficking, or any criminal activity, is strictly prohibited.
b. Disruptive Behavior: Members and their guests must not engage in disruptive behavior that interferes with the safety, comfort, or enjoyment of other passengers or crew members. Members are responsible for the activities and behavior of their guests at all times.
c. Intoxication: Excessive intoxication or substance abuse that compromises the safety of the flight is prohibited.
d. Smoking: Smoking, including the use of electronic cigarettes or vaping devices, is prohibited in and around the Ad Astra Flights facility, including the customer lobby, hangar, tarmac, and on all Company flights.

3. Security Regulations
a. Applicants and Members authorize the Company to conduct background checks as part of the membership application process and as needed to ensure the safety of all passengers and crew in the Company’s full discretion.
b. Members and guests are required to comply with all security protocols, including security screenings and identity verification.
c. Failure to comply with security regulations may result in the cancellation of your booking and termination of your membership.

4. Pet Policy
a. Small pets may be allowed on certain flights, subject to the prior approval of Ad Astra Flights. A maximum of two pets, or up to 40 pounds, may fly free on each flight. A $50 pet fee will be charged for each additional pet or any pets above 40 pounds. Please contact the Company in advance to discuss pet travel arrangements.
b. Members are responsible for the behavior and comfort of their pets during the flight.

5. Flight Restrictions and Procedures
a. To request a flight, Members may use our online booking system, mobile app, or contact our customer service representative.
b. Bookings are subject to aircraft and pilot availability and weight and balance considerations. Members must adhere to the weight and balance specifications and limitations established for each flight.
c. The booking Member must be present on the flight booked.
d. Membership for the booking Member must be maintained through the end of the month in which any flight has been booked.
e. Children under the age of two may travel on the lap of an adult; however, we recommend that children under the age of two utilize a child safety seat.
f. All flight bookings are non-refundable. The trip cost will be applied as a credit towards future flights if the cancellation is made at least 48 hours prior to the scheduled flight departure time. For cancellations made less than 48 hours prior to the scheduled flight departure time, 50% of the flight booking fee will be forfeited, and 50% will be applied as a credit towards future flights.
g. The Company is not responsible for trip interruption, delay, or diversion, and no refunds or trip credits will be applied for trip interruptions, delays, or diversions due to weather or any other circumstance outside of the Company’s control. The booking Member will receive a $600 credit on their account towards a future flight booking fee for trip interruption or diversion that occurs after the flight departs and is the direct result of a maintenance issue.

6. Privacy and Data Usage
a. Our privacy policy outlines how we collect, use, and protect your personal information. By becoming a Member, you agree to our privacy policy.

7. Amendments and Liability
a. The Company may modify these Terms from time to time without notice. Any updates or changes will be communicated via email or through our website. Continued use of our services after such modifications constitutes your acceptance of the revised Terms. Ad Astra Flights’ liability is limited to the amount paid by the Member to the Company, except as otherwise provided in the Terms.

By applying for membership with Ad Astra Flights, you acknowledge that you have read, understood, and agree to be bound by these Terms. Failure to comply with these Terms may result in the termination of your membership and access to our services.

AIRCRAFT RENTAL AGREEMENT Terms:

This Aircraft Rental Agreement (“Agreement”) is made between AD ASTRA, its subsidiaries, Flightworks Inc, further referred to in combination as the “company” and the undersigned (“Pilot”). This agreement applies to the undersigned and all persons or corporations who rent or lease aircraft from Ad Astra, including student pilots and renter pilots. The undersigning Pilot is responsible for complying with all terms and conditions of this Agreement, including all costs and charges incurred.

Pilot Qualifications and Certifications:

Pilot shall hold certificates and ratings issued by authorized agencies of the United States of America as appropriate for the type of aircraft to be operated. Further, Pilot must possess a current FAA issued medical certificate appropriate for the type of operation to be conducted. Pilot must have the appropriate pilot certificates, medical certificates, and photo identification on their person during every flight.

Payment:

Pilot hereby expressly acknowledges and binds Pilot, Pilot's heirs and assigns for all liabilities to pay the company the following:

a) Service and time charge computed at the applicable rate as specified at the time of rental.

b) A sum equal to the cost of all damages to the aircraft, or loss of equipment of the aircraft during the rental period as well as any damages to their persons or property caused in whole or in part by Pilot’s failure to comply with the rules and regulations of the Federal Aviation Administration, the terms of this agreement, the procedures outlined in the rental aircraft Pilot Operating Handbook or by the negligence of Pilot.

c) Pilot agrees to pay all fines, penalties, forfeitures, court costs and other expenses for parking, landing fees or other legal violations assessed against the company resulting from Pilot's use of the aircraft.

Pilot agrees to pay all of the companies’ costs and agrees to pay all other reasonable attorney's fees incurred by the company arising out or in any way connected with the enforcement of the terms and conditions of this agreement.

Rental Periods:
The rental period is that which the Pilots is based on the beginning and end time on the Hobbs meter of the aircraft. Unless otherwise stated, the aircraft is to be returned to the company in Scottsdale, Arizona. Pilot agrees to return the aircraft at the agreed time, weather permitting. In the event of a delay; renter agrees to notify the company as soon as practicable of the delay. Pilot agrees that if the aircraft must be abandoned at any location other than the company’s home base due to weather or other causes, Pilot shall pay all expenses incurred in returning the aircraft to the company’s home base in Scottsdale. For each rental period that reserves an aircraft overnight at another airfield, will require a minimum of 2 flight hours billed per day of reservation.

Emergencies, Damage, Accidents:
In the event of an emergency, the Pilot should immediately contact local authorities, and the company, in

accordance with NTSB requirements.

Pilot agrees to report all damage to the rented aircraft and any accidents involving the rented aircraft, both major and minor, immediately along with any names and addresses of witnesses and involved parties. Pilot will not allow the aircraft to be moved unless expressly authorized to do so by the company or appropriate authorities. Pilot will do all that is possible to protect the aircraft from further loss or damage.

Prohibited Uses of Aircraft:

Pilot agrees to comply with all Federal, State and Local laws and regulations concerning the rental aircraft and its uses. Pilots agrees not to carry persons or property for hire, provide flight instruction, or participate in any race or contest. Prohibited use of the rental aircraft or violation of any term of this agreement makes aircraft subject to immediate repossession and loss of rental privileges.

Warranty Disclaimer:

The company is not the manufacturer of the aircraft nor the manufacturer's agent, and therefore the company makes no warranty of any kind, nature or description, expressed or implied, as to merchantability or fitness of the aircraft for any particular purpose.

Alterations:
No additions, alterations, or improvements may be made to the aircraft without the companies express

written approval.

Liability for Property:

Pilot is responsible for all property taken into the aircraft. The company is not responsible for loss or damage of any property left, stored, loaded or transported by the renter whether or not said loss or damage was caused by or related to the negligence of the company, its agents or employees.

Pilot assumes all risk of such loss or damage and waives all claims against the company, its agents and employees by reason thereof and renter agrees to hold the company, its agents and employees harmless from and to defend and indemnify the company, its agents and employees, servants, and successors, and assigns attorney's fees that may arise in whole or in part by reason of any act or omission of the Pilot related directly or indirectly to the use of the aircraft.

Insurance:

The company maintains an Aircraft Insurance Policy for Liability Coverage (to others) for bodily injury and property damage in the amount of One Million Dollars ($1,000,000) and a sub- limit of $100,000 per passenger. The company also maintains Aircraft Hull Coverage up to the stated value of the aircraft.Pilot assumes responsibility for the aircraft from the time it is dispatched to Pilot, and while in Pilot's care, custody or control. Pilot is required to protect the company with a Non- Owned Aircraft Policy with a minimum of $100,000 hull coverage, which can be purchased through any recognized aviation insurer. Pilot agrees not to fly any rental aircraft without current insurance coverage described herein.

Pilot may be held responsible for any and all claims, damage or loss to the aircraft, including but not limited to damage to tires, landing gear, propeller, engine, avionics and airframe for any reason. Pilot is responsible for all damage to the aircraft, persons or property on board that is the result of Pilot’s actions or inaction. Further, Pilot may be held responsible for aircraft loss of use charges. Pilot may be responsible for any claims, damages or losses not covered by the company or Pilot’s insurance policies.

Hold Harmless:

Pilot hereby agrees to indemnify and hold the company harmless against any liabilities, claims or damages which result from/or are in connection with Pilot's rental of an aircraft pursuant to this agreement; and Pilot agrees to be responsible for the payment of any damages caused to Pilot, third parties, personal property and property belonging to third parties, and to the aircraft and/or equipment while in Pilot's care, custody or control.

Termination:

At it’s option, the company shall have the right to terminate this agreement upon default or breach of any renter's obligation and shall have the right to repossess the aircraft. The exercise of such right shall not prejudice the company’s right to pursue any other legal or equitable remedy available to it.

Assignment: The rental agreement and the aircraft itself cannot be assigned or transferred by Pilot. Governing Law: This agreement shall be construed and enforced under the laws of the State of Arizona.

Acknowledgement:

The undersigned certifies that he/she is current and qualified to operate the rental aircraft and has knowledge of and will comply with all applicable Federal Aviation Administration regulations and the companies policies and procedures.
